Supa Terms of Service
Effective
1. About these Terms and who provides Supa
Supa is a product operated by BuildPass Pty Ltd and BuildPass Inc., as allocated below. It is an AI assistant that helps you find information, create content and carry out tasks through conversations and connected services. These Terms govern getsupa.ai, app.getsupa.ai and the Supa features and messaging services we make available (the Services).
Your agreement is with the following company (Supa, we, us or our):
| Customer location | Contracting company |
|---|---|
| United States | BuildPass Inc., EIN 37-2168499. Address: 3212 E Cesar Chavez, Building 1, Suite 1115, Austin, TX 78702, United States. |
| Australia and other locations where we offer the Services | BuildPass Pty Ltd, ABN 61 652 324 635, ACN 652 324 635. Address: Unit 2, 33 Stewart St, Richmond, VIC 3121, Australia. |
An order agreed with you may expressly identify a different contracting company. A change to your contracting company will be notified to you and will not remove rights you already have. These Terms apply to Supa; separate BuildPass or Supasite products remain governed by their own terms unless expressly agreed otherwise.
By accepting these Terms when registering or ordering the Services, you enter into this agreement. If you act for an organisation, you confirm that you can bind it, and references to you include that organisation. If you do not agree, do not register or use the Services.
Our Privacy Policy explains our handling of personal information. You acknowledge that notice; this does not constitute consent to optional marketing or replace any separate consent required by law. Section 4 explains how we improve Supa without training AI models on your content, and your choices. The SMS Messaging Terms also apply when you use our SMS programme. A signed order or data-processing agreement prevails over these Terms only to the extent it expressly addresses the same subject. SMS-specific protections prevail for SMS, and mandatory law always prevails.
2. Eligibility and accounts
You must be at least 18 and legally able to enter this agreement. Provide accurate account and billing information, keep it current, protect your credentials and connected accounts, and tell us promptly about suspected unauthorised access at support@getsupa.ai. You are responsible for people you authorise to use your account and for assigning appropriate access within your organisation. You are not responsible under this clause for unauthorised activity caused by our breach of this agreement.
Features, usage limits and geographic availability depend on the service or plan offered to you. A description of a possible feature in these Terms does not mean it is included in your plan or currently available.
3. Your content and AI outputs
Inputs are prompts, messages, files and other information you submit or authorise Supa to access, including connected-service data. Outputs are responses and other content generated for you. Together these are Customer Content. Corrections, examples and feedback containing your content or another person's information are also Customer Content.
You retain your rights in Inputs. As between you and Supa, you own Outputs to the extent ownership rights exist under applicable law; we assign to you any rights we hold in those Outputs. We retain our rights in the Services, software, models and other underlying technology. AI output may not qualify for intellectual-property protection, may resemble output generated for others and may include third-party material whose rights we cannot assign.
You must have the authority and lawful basis needed to provide Inputs, permit the requested processing and use Outputs. Obtain required notices and permissions when your content concerns someone else. If a feature processes audio or images of other people, comply with applicable recording, surveillance, privacy and workplace laws before using it.
You grant us a non-exclusive, worldwide, royalty-free licence to process Customer Content as needed to provide, secure, maintain and support your Services, carry out your instructions, comply with law and resolve service issues. We may engage service providers for those purposes under appropriate restrictions. This licence does not transfer ownership, permit public disclosure of confidential content or permit model training on Customer Content (section 4). Retention and deletion are described in the Privacy Policy.
4. Improving Supa without model training
We do not use your Customer Content to evaluate, train or fine-tune AI models. That includes your prompts, responses, feedback and corrections. Contracted providers process Customer Content to provide the service and are not permitted to use it to train their own products. If we ever want to use Customer Content for model training, we will ask for your specific consent first.
If "Help improve Supa" is on in Settings, which it is by default, we may analyse your conversations for common topics and outcomes, and members of the Supa team may review your conversations and what Supa has learned about you to improve Supa, except connected-service information whose terms restrict human access, as described in the Privacy Policy. You can turn it off at any time in Settings or by contacting privacy@getsupa.ai. Turning it off does not prevent the support, fault investigation and security uses described in the Privacy Policy.
5. Connected services and actions on your behalf
When you connect an account or instruct Supa to perform a task, you authorise access to relevant information and actions within the permissions and instructions you provide. These may include reading information, drafting or sending communications, updating records or interacting with a third-party website, where those features are available. Supa does not receive blanket authority to access unrelated accounts or make commitments outside that scope.
An action may disclose information to another person, change or delete a record, incur a charge or create a commitment. Set appropriate permissions, review requests for confirmation and verify consequential results. Third-party material can include misleading instructions aimed at the assistant. Do not rely on Supa for emergency response or for a decision requiring qualified professional judgement or human review.
Third-party services have their own terms, pricing and privacy practices. Unless expressly stated otherwise, any transaction Supa facilitates at your direction is between you and that provider. You remain responsible for authorised third-party charges. This does not exclude our responsibility for a failure to comply with our own obligations.
You can revoke permissions through the connected provider and contact support@getsupa.ai to disconnect Supa. Revocation prevents future authorised access but does not undo completed actions or automatically delete previously stored information; deletion requests are handled under the Privacy Policy. We do not guarantee that every third-party integration will remain available.
6. Responsible use
Use the Services lawfully and within your authority. Do not use them to violate privacy or intellectual-property rights, impersonate or defraud people, send unlawful or unsolicited messages, distribute malicious software, obtain unauthorised access, bypass security or service limits, exploit people, or facilitate unlawful harm. Do not interfere with other customers or extract another customer's data. Restrictions on reverse engineering apply only to the extent permitted by law.
You may use Supa for your personal or internal business purposes under your plan. You must not resell access unless we agree. You may report security issues in good faith to support@getsupa.ai.
7. Fees, renewals and cancellation
Any paid offer will state its fees, currency, billing interval, included usage, additional usage charges and applicable taxes before purchase. Australian consumer prices include GST where required. You authorise charges for the plan and usage you agree to; connecting a payment method does not authorise undisclosed charges.
A subscription renews only on the basis disclosed and accepted at purchase. You may cancel through the cancellation method given at purchase or by contacting support@getsupa.ai. Cancellation stops future renewals and ordinarily takes effect at the end of the paid period. We will not make cancellation harder than applicable law permits.
Except where law requires a refund or we agree otherwise, fees for a period already supplied are not refunded solely because you stop using Supa. If we discontinue a paid service or terminate for convenience, we will refund unused prepaid fees proportionately. Your statutory refund and consumer-guarantee rights remain intact.
We will give at least 30 days' notice of an increase to recurring fees, applying no earlier than the next renewal after that notice period, so you can cancel first. Any trial, conversion to a paid plan or usage-based charge must be disclosed before you accept it. We may suspend paid access for overdue undisputed charges after reasonable notice and an opportunity to resolve the issue.
8. Confidentiality and security
We will protect non-public Customer Content with reasonable safeguards and limit access to people and providers who need it for the permitted purposes and are subject to confidentiality obligations. These obligations do not prevent disclosures you direct, disclosures required by law, or use of information that became public without a breach, was independently developed or was lawfully received without confidentiality restrictions.
We will respond to security incidents and notify affected parties as required by applicable law. No service is entirely secure. Keep independent copies of important records and limit the sensitive information you share to what a task needs.
9. Availability and AI limitations
We will provide the Services with reasonable care and skill. AI can produce inaccurate, incomplete, biased or unsuitable results and can make mistakes when taking actions. Verify outputs and consequential actions before relying on them. Supa is not a legal, medical, financial or other licensed professional adviser.
Subject to rights that cannot lawfully be excluded and any express commitments in your order, we do not promise uninterrupted operation, error-free results or suitability for every purpose. Beta features may change or be withdrawn. We will give reasonable notice of material reductions to a paid service where practicable and provide remedies required by law.
10. Liability and consumer protections
Nothing in these Terms excludes or limits rights, guarantees, remedies or liabilities that cannot lawfully be excluded or limited, including applicable Australian Consumer Law guarantees and US consumer protections. Where those guarantees apply, you may be entitled to a remedy for a failure to provide services with due care and skill or other required guarantees.
Subject to that protection, neither party is liable to the other for indirect or consequential losses that were not reasonably foreseeable when the agreement was made. A loss is not excluded merely because it concerns data or lost revenue if it is a direct, reasonably foreseeable loss.
Subject to the exceptions below, each party's total liability arising out of the Services in any 12-month period is limited to the greater of the fees paid or payable by you for the affected Services in the preceding 12 months and AUD 100 for Australian-entity contracts or USD 100 for US-entity contracts.
These exclusions and caps do not apply to fraud, wilful misconduct, a party's breach of confidentiality or data-protection obligations, your obligation to pay agreed fees, or liability that applicable law does not permit the parties to limit. They do not restrict refunds or other statutory remedies. Responsibility for a loss will be reduced to the extent it was caused by the other party's acts or omissions.
11. Suspension and termination
You may stop using Supa and request account closure at any time. We may suspend or end access where reasonably necessary to address a material breach, non-payment, security risk, unlawful activity or a legal requirement. Where practical, we will explain the reason and allow a reasonable opportunity to remedy a remediable breach. Immediate action may be necessary to prevent harm or comply with law.
We may end the Services for convenience on at least 30 days' notice, with the unused-prepayment refund described above. Where lawful and safe, we will give you a reasonable opportunity to request an export before deleting account content. Closure, retention and deletion remain subject to the Privacy Policy. Terms needed to resolve accrued rights, ownership, confidentiality, liability and disputes survive termination.
12. Changes to these Terms
We may update these Terms as the Services or legal requirements change. We will notify you of material changes at least 30 days before they take effect, unless an earlier change is reasonably required by law or an urgent security issue. We will explain an earlier effective date. Changes are prospective and do not remove accrued rights.
You may stop using the Services before a change takes effect. If a material change adversely affects a prepaid service and you terminate because of it, we will refund the unused prepaid portion. Where fresh agreement or consent is required, we will obtain it. An update cannot silently enrol existing Customer Content in AI training.
13. Regional law and disputes
Contact support@getsupa.ai with a description of a dispute so we can try to resolve it. Neither party must delay urgent relief, a statutory complaint or a filing necessary to preserve a limitation period.
For contracts with BuildPass Pty Ltd, Victorian law applies and the parties submit to the non-exclusive jurisdiction of courts in Victoria, Australia. For contracts with BuildPass Inc., Texas law applies, excluding its conflict-of-laws rules, and the parties submit to the non-exclusive jurisdiction of competent courts in Texas, United States.
These choices do not deprive consumers of mandatory protections or access to courts or regulators available under the law where they live. These Terms do not require arbitration or waive participation in a class action.
14. General and contact
Neither party may transfer this agreement in a way that materially reduces the other's rights without consent, except as law permits. We may transfer it as part of a genuine business reorganisation or sale with notice and preservation of your rights. If a provision is unenforceable, the remainder continues to the extent lawful. A failure to enforce a provision is not a waiver.
These Terms and any applicable agreed order form the agreement about the Services, without excluding liability for misrepresentation or rights that law preserves. We may send service and legal notices to your registered contact details; marketing choices remain separate.
